Terms of Service
Last updated: September 11, 2026
These terms govern the provision of services by Catalyst Venture Commerce LLC, a Limited Liability Company formed in Wyoming, United States, with its principal office at 1021 E Lincolnway, Suite 10666, Cheyenne, WY 82001, United States (“we”, “us”). By engaging us you agree to these terms.
1. Services
We provide planning, management and reporting for paid advertising campaigns, and produce advertising creative, as set out in the written proposal or statement of work agreed with you. The proposal records the channels covered, the deliverables included and the monthly fee.
2. Advertising accounts and spend
You retain ownership of your advertising accounts, ad platform profiles and associated data at all times. Responsibility for funding advertising spend, and the arrangements for it, are set out in the engagement agreement.
3. Fees and payment
Our fees are performance-based. The basis on which they are calculated, the period they are measured over and the payment schedule are agreed in writing with each client before work begins, and recorded in the engagement agreement.
- Fees are quoted in US dollars, exclusive of any applicable taxes.
- Invoices are issued for each agreed period, with the calculation shown.
- Payment is due within 14 days of the invoice date.
- We may suspend services on accounts more than 14 days overdue, after written notice.
4. Term, cancellation and refunds
Engagements begin with an initial three-month term. After that term they continue on a rolling monthly basis, and either party may end the engagement by giving 30 days’ written notice.
Fees already earned under the agreed structure for a completed period are payable and are not refundable. Where an amount has been paid in advance for a period that is not completed, we refund the unearned portion on a pro-rata basis. Refunds are returned by the same method as payment, within 10 working days.
5. Your responsibilities
- Providing timely access to the advertising accounts and analytics we need.
- Ensuring the products advertised, and any claims made about them, comply with applicable law and the advertising platforms’ policies.
- Approving creative and campaign changes where approval has been agreed as a requirement.
6. Performance
Advertising results depend on factors outside our control, including platform policy, auction dynamics, your pricing and your product. We provide our services with reasonable skill and care, but we do not guarantee any particular level of sales, revenue, return on ad spend or other commercial outcome, and nothing on our website or in our proposals should be read as such a guarantee.
7. Confidentiality and data
Each party will keep the other’s non-public business information confidential and use it only to perform or receive the services. Our handling of personal data is described in our Privacy Policy.
8. Intellectual property
On payment of the fees for the relevant period, ownership of advertising creative produced specifically for you passes to you. We retain ownership of our own underlying methods, templates and tools, and may describe the work in general terms as part of our own portfolio unless you ask us in writing not to.
9. Liability
Neither party excludes liability where it cannot lawfully do so. Subject to that, our total liability arising out of or in connection with the services is limited to the fees paid by you in the three months preceding the event giving rise to the claim, and neither party is liable for indirect or consequential loss.
10. Governing law
These terms are governed by the laws of the State of Wyoming, United States, and the courts of that state have exclusive jurisdiction.
